Xavier is a director with Baker Tilly’s financial accounting services practice.
Xavier advises public and private companies, as well as private equity firms and their portfolio companies, on capital markets transactions, IPO execution (including Domestic and Foreign Private Issuers (FPI)) and complex technical accounting matters, supporting organizations through financial reporting transformations, Generally Accepted Accounting Principles (GAAP) conversions and Securities and Exchange Commission (SEC) reporting.
Xavier brings extensive experience across multiple industries, with a strong focus on healthcare, technology, communications, life sciences, Industrial and consumer products. He has led and supported numerous capital markets and IPO engagements, including drafting registration statements, managing SEC comment letter processes and delivering financial statements uplift to achieve SEC-compliant reporting. His experience spans the full lifecycle of transactions, including IPOs, de-SPAC transactions, debt and equity offerings, acquisitions, divestitures, mergers and carve-outs, working closely with executive management, auditors and legal advisors.
With an international background and multilingual capabilities (English, French and Spanish), Xavier has significant experience leading cross-border capital markets transactions across the U.S., Europe, the U.K. and Latin America.
- Lead IPO readiness assessments for Domestic Issuers and FPI, including SEC (S-1/F-1) gap analyses and remediation
- Advise on financial statement uplift to achieve SEC compliance, including U.S. GAAP and IFRS conversions
- Draft and review registration statements (S-1/F-1), including management discussion and analysis (MD&A), non-GAAP measures, and disclosures
- Manage SEC comment letter processes and coordinate with auditors and legal counsel
- Extensive experience in acquisitions, divestitures, mergers, and carve-outs
- Prepare and review pro-forma financial information under Regulation S-X
- Lead technical accounting advisory (business combinations, stock-based compensation, leasing, impairments)
- Support IPOs, de-SPAC transactions, and capital markets transactions
- Enhance financial reporting processes, internal controls, and SOX readiness
- Collaborate with due diligence teams on transaction-related accounting matters
- Speaks French and Spanish
