Systems Management Group, LLC (SMG) specializes in consulting, designing, installing, servicing and integrating low-voltage systems for multifamily apartment buildings. The company’s focus includes fire alarms, intrusion alarms, access control, camera systems, audio and video systems, BDA systems, areas of refugee systems, telecommunications, data systems and more.
A strong brand presence helped solidify SMG as a market leader in the Colorado and Arizona markets for low-voltage fire alarm and security services; however, co-owners Terrence Kane and Owen Myran wanted to find a partner to help grow SMG outside of its current geographic footprint.
Baker Tilly Capital solution
The investment banking team at Baker Tilly Capital worked closely with SMG throughout the sale process, developing and implementing a competitive transaction process to ensure maximum value and optimal strategic fit. After assessing SMG’s current state of operations, our team conducted an extensive marketing process to more than 100 potential strategic and financial buyers to find a partner that best matched the company’s goals, as well as the owners’ personal goals.
After contacting all potential buyers, Baker Tilly Capital narrowed the list down to a select group of buyers for further consideration. Our team, along with Terrence and Owen, held a series of management meetings with each finalist to further discuss the transaction and negotiate terms.
The outcome of the transaction process matched SMG with The Hiller Companies, Inc. (Hiller), a subsidiary of Pon North America, Inc., that delivers fire protection and security products and services from 23 locations across the U.S. The acquisition of SMG expands Hiller’s access to the Colorado market and provides tools to more effectively service existing customers in the western U.S.
For SMG, the acquisition by Hiller allows the company to provide its customers with the attention and support of a local company that’s also backed by the strength and resources of a strong national brand. Further, Hiller will maintain all of SMG’s management, staff and technicians, which was important to both Terrence and Owen when identifying a partner.
“The team at Baker Tilly Capital guided us throughout the entire sale process, consistently providing valuable communication and being there every step of the way. They understood our personal and company goals in identifying a strategic partner moving forward.”
