Tracey is a principal with Baker Tilly and the executive vice president and general counsel for BT REI Manager, LLC, the wholly owned real estate investment sponsor subsidiary of the firm. She also leads the firm’s capital magnet fund practice and has significant experience working with affordable housing development. Prior to joining the firm in 2016, Tracey was a senior vice president with a commercial real estate developer and private equity real estate fund, where she was responsible for sourcing, structuring and executing debt and equity financing, and overseeing asset management for the firm’s portfolio.
Previously, Tracey was a partner with an AM Law 100 law firm in Philadelphia, where she focused her practice on commercial real estate and represented institutional and private investors, developers, REITs, lenders and borrowers in all matters of real estate, including acquisition, development, management, financing, leasing and sale.
- Counseled clients throughout entire lifecycle of real estate, including acquisition, development, financing, leasing, sale and various application processes
- Focused on improving returns and optimizing the capital stack for real estate projects through a variety of federal, state and local tax credit and incentive programs
- Drafted and negotiated real estate transaction documents, including purchase and sale agreements, limited partnership and operating agreements, joint venture agreements, construction contracts, private placement documents, loan documents and lease agreements
- Advised clients in all facets of real estate due diligence, including feasibility and financial analyses, title review, property condition reports, environmental reports, zoning analysis and rent roll and lease review
- Wrote successful applications for Low Income Housing Tax Credits, Capital Magnet Fund and Rental Assistance Demonstration program
